MNA AMENDED CONSTITUTION
ADOPTED BY THE MEMBERSHIP 1/13/04
PREAMBLE
The organization shall be known as the Meadowthorpe Neighborhood
Association, Inc (MNA). Its purpose is to improve and to protect the
neighborhood through educational, civic, social, and advocacy
activities.
NEIGHBORHOOD BOUNDARIES
The MNA shall be defined by all residential properties commonly
referred to as Meadowthorpe Subdivision and to include adjacent and
nearby business and residential properties located along the
Leestown Road corridor.
MEMBERSHIP
All property owners and/or residents of the Meadowthorpe
Neighborhood eighteen years of age and older are members of the
Meadowthorpe Neighborhood Association.
OFFICERS
The officers of this body shall be president, vice-president,
secretary, and treasurer. The officers shall be elected annually by
the membership, will serve a one-year term, and may be re-elected.
Any MNA member is eligible to hold office.
PRESIDENT will preside over meetings of the MNA and of the Board
of Directors. He or she will appoint representatives, committees,
and individuals to carry out the business of the association. The
President or President's designate will serve as the association's
representative to the Fayette County Neighborhood Council, Planning
Commission, and Urban County Council. All presidential appointments
are subject to the approval of the Board.
VICE-PRESIDENT will substitute for and act on behalf of the
President in his or her absence or upon his or her request. The
Vice-President will serve as liaison with the street representatives
and coordinate their activities. He or she will also carry out other
duties as may be requested by the President or the MNA Board of
Directors.
SECRETARY will write and keep a record of the minutes of general
membership, executive committee, and board meetings; maintain a file
of standing and ad hoc committee meeting minutes; be responsible for
external MNA communications and routine correspondence; oversee the
MNA web site and newsletter; keep and maintain the MNA records,
treasurer's records excepted.
TREASURER will keep and maintain the association's financial
records, carry out the transactions normally associated with the
office, prepare and present a treasurer's report at each board and
general meeting, prepare and present an annual budget report.
ELECTION OF OFFICERS
Nominees will be announced at the last general membership meeting
of the year. Election of officers by secret ballot will be held at
the first general meeting of the year. All MNA members are eligible
to vote at the meeting. Elected officers will assume their duties
immediately after the election and serve until the next annual
election.
EXECUTIVE COMMITTEE
Comprised of the elected officers, the Executive Committee will
create and present to the Board of Directors for its approval an
annual budget and plan of action; will develop board meeting
agendas; will schedule Board of Directors and general membership
meetings; will be responsible for writing and submitting grant
applications.
FILLING EXECUTIVE COMMITTEE VACANCIES
If the office of president is vacated, the vice-president assumes
the office for the remainder if the president's term. The president
shall nominate and the Board shall approve by simple majority a
member of the association to complete the term of office of the
vice-president, secretary, and treasurer in the event that any of
these offices is vacated.
BOARD OF DIRECTORS
Comprised of the officers and the street representatives, the
Board of Directors will oversee and have final authority over the
day to day operations and expenditures of the MNA; review the
president's appointments and initiatives; recommend policies,
actions, activities, and an annual budget to the membership. Members
are obligated to attend a minimum of three Board meetings annually.
STREET REPRESENTATIVES
Street Representatives may be nominated by any MNA member and
submitted to the general membership for approval. Street
Representatives serve as liaison between the residents of a street
or portion of a street and the MNA. Typically, street
representatives deliver the neighborhood newsletter and other
materials, gather news, report problems to officers, collect dues
contributions. Street Representatives are members of the Board of
Directors.
MEETINGS
There will be a minimum of one Board of Directors meeting and one
general membership meeting in each quarter of the year, an annual
schedule of meetings to be set by the Executive Committee in January
of each year and communicated to the membership in a timely manner.
Special or emergency meetings of the Board or general membership may
be called by the Executive Committee. Special or emergency meetings
of the general membership will be scheduled within ten days by the
Executive Committee in response to the written request of ten or
more members of the association. Board and general membership
meetings will be conducted according to Robert's Rules of Order,
current revised edition.
BY-LAWS
Detailed rules, or by-laws, governing the conduct of the
association's business will be adopted by the Board of Directors,
subject to the approval of the general membership.
COMMUNICATIONS
A newsletter and a site on the World Wide Web will be the chief
means of communicating information within the association.
AMENDMENT PROCEDURE
Any MNA member may propose amendments to the Constitution.
Amendments proposed at a meeting of the Board will be voted on at
the first following Board meeting and will require a two-thirds
majority of members present and voting for approval. If approved by
the Board, the amendment will be announced to the membership at the
next general meeting and voted on at the following general meeting.
A two-thirds majority of members present and voting will be required
for final approval.
MEMBERSHIP SUPPORT
On an annual basis, and/or as needed, the organization will
appeal to its members for funds to support its operations.
